Terms of Service

1. Acceptance of these terms

Surfacly ("Surfacly", "we", "us") is operated from Bangladesh. By creating an account or using the service you agree to these Terms of Service. If you don't agree, don't use Surfacly.

If you use Surfacly on behalf of a company, you confirm you're authorised to accept these terms for that company.

We may update these terms as the product evolves. Material changes are announced by email at least 14 days before they take effect; continuing to use Surfacly after that date means you accept the updated terms.

2. The service

Surfacly is an AI-commerce visibility platform. It audits your product catalog the way AI assistants read it, generates AI-drafted fixes (schema, descriptions, alt text), tracks whether ChatGPT, Microsoft Copilot, Google Gemini, and Perplexity cite your products, and reports on the results inside your workspace.

Features are described on our marketing site and in the app, and may change, improve, or be removed as the product develops.

We work hard to keep Surfacly available and reliable, but the service is provided on an "as available" basis. Planned maintenance, outages of third-party AI providers, and events beyond our reasonable control may cause interruptions.

3. Your account

You're responsible for keeping your login credentials confidential and for all activity that happens under your account.

API keys you generate are scoped to your workspace's connected store domain. Keeping a key secret is your responsibility — rotate it from settings immediately if you believe it's been exposed.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Surfacly.

4. Acceptable use

Only connect and audit catalogs you own or are authorised to manage.

Don't attempt to reverse-engineer the service, circumvent tier limits, rate limits, or billing controls, or access other workspaces' data.

Don't use Surfacly to generate or publish content that is illegal, deceptive, defamatory, or that infringes anyone else's rights.

We may suspend or limit accounts that abuse the service, threaten its stability, or violate these terms.

5. Billing and refunds

Paid plans (Starter, Growth, Scale) are subscriptions billed monthly. Payments are processed by Dodo Payments, our merchant of record, who handles the transaction, invoicing, and applicable taxes. By subscribing you also agree to Dodo Payments' terms.

Your subscription renews automatically each month until you cancel. You can cancel anytime from your billing settings or the Dodo customer portal; access continues until the end of the current paid period.

During the private beta, paid features may be offered free or at reduced pricing; we'll give notice before standard pricing begins.

Refund requests are considered within 14 days of a charge if you've made minimal use of that period's allowance. Beyond that we review case by case. For any billing question, email billing@surfacly.top.

If a renewal payment fails, we may pause new audit runs after a short grace period. Your data is retained per Section 9 so you can resume by updating payment.

6. Your data and content

You own your catalog data and the reports Surfacly generates from it. You grant us a limited licence to store and process that data solely to operate the service for you.

We do not sell your data and we do not use it to train external AI models. How data flows through our systems and sub-processors is described in our Privacy Policy.

You can export or delete your data at any time from the workspace Danger Zone, or by emailing hello@surfacly.top.

7. AI-generated content

Surfacly uses large language models to draft product copy, schema, and alt text. Every suggested fix is shown to you as a reviewable diff — nothing is published to your store without your explicit approval.

AI output is suggestion-grade and can contain errors. You are responsible for reviewing and for the final content that ships on your storefront. Surfacly isn't liable for consequences of content you choose to publish.

8. Intellectual property

Surfacly, including its software, design, and brand, is our intellectual property. These terms don't transfer any ownership of the platform to you.

Feedback you send us may be used to improve the service without obligation to you.

9. Termination and data retention

You can stop using Surfacly and delete your account at any time. We may suspend or terminate accounts that materially breach these terms, with notice where practical (immediately in cases of severe abuse or legal risk).

After account closure, your data is retained for up to 60 days to allow restoration, then permanently deleted — unless you request earlier deletion or we're required to keep certain records by law.

10. Disclaimers and limitation of liability

Surfacly is provided "as is" and "as available", without warranties of any kind to the extent permitted by law. We don't guarantee specific ranking, citation, or revenue outcomes.

To the maximum extent permitted by law, our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. We're not liable for lost revenue, lost data, or indirect or consequential damages.

11. Governing law

These terms are governed by the laws of Bangladesh. Any dispute will be subject to the exclusive jurisdiction of the competent courts of Bangladesh, without prejudice to any mandatory consumer-protection rights you may have where you live.
